Vocus Appoints Mark Cross as New Independent Chair

Penny Bingham-Hall has announced she will step down as Independent Chair of the Vocus Board, with Mark Cross appointed to step into the role effective 5 August 2025.

During Penny's tenure, she has overseen several significant milestones at Vocus:

    • Transition from a publicly listed Board: establishing robust private market governance frameworks, ensuring that Vocus’ operations are conducted with the highest standards of accountability and transparency.
    • Merger of Vocus NZ (Orcon) and 2degrees: successful carve-out of Orcon from Vocus and merger with 2degrees.
    • Execution of large-scale fibre builds: Vocus has added over 3,000km of new fibre connectivity to its network, including an ambitious build through the Pilbara in WA which, together with other projects, have greatly enhanced Vocus’ operational capabilities and expanded its reach.
    • Acquisition of TPG’s enterprise government & wholesale fixed business and assets: a strategic move that increased Vocus’ footprint to more than 50,000km of owned fibre, nearly 15,000km of global submarine cables and close to 20,000 connected buildings, positioning Vocus for sustained growth and success.
    • Appointment of new Vocus CEO, Andrés Irlando: completion of the global executive search for a new CEO with Andrés Irlando joining Vocus from digital infrastructure company, Zayo Group in North America.

The shareholders of Vocus greatly appreciate Penny’s contribution during her tenure as chair of Vocus.

Ani Satchcroft, Vocus Non-Executive Director and Co-Head of Infrastructure Asia-Pacific, Macquarie Asset Management said: “Penny's dedication, empathy and commitment to Vocus has ensured a smooth transition to private capital ownership. Experienced professional director Mark Cross has been appointed as the new Independent Chair of Vocus’ Board of Directors. Mark has extensive experience across the digital infrastructure and high growth technology sectors as the chair of ASX and NZX-listed Chorus, New Zealand’s largest wholesale fibre network, and a director of Xero and Fisher & Paykel Healthcare. He is also a board member and investment committee chair of Accident Compensation Corporation NZ. His previous directorship roles include chair of Milford Asset Management, and director of listed companies Z Energy, Genesis Energy and Argosy Property.

Mark is a member of Chartered Accountants Australia and New Zealand, a member of the Australian Institute of Company Directors and a chartered member of the New Zealand Institute of Directors.

The shareholders believe that Mark's experience in strategic governance, together with his commercial expertise, will be invaluable in driving Vocus’ future growth and guiding the company through the integration of the TPG business. With the integrated company set to become a key digital infrastructure operator in Australia, the shareholders look forward to leveraging the skills of new CEO Andrés Irlando and Mark as Chair, to deliver highly valued services to more customers, while creating further competition in the sector.

Mark Cross, Independent Chair of Vocus said: “I look forward to joining Vocus as Chair of the Board at an exciting time for the company, as it works towards the integration of the TPG business. This is a compelling opportunity for me to leverage the skills and experience I’ve gained in digital infrastructure, technology and financial services to support the Vocus management team in steering the company towards continued growth and innovation for customers.”
